📋 Terms of Service

By accessing or using CLNEXA ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using CLNEXA on behalf of a clinic or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service. Your continued use of CLNEXA after any updates to these Terms constitutes acceptance of the revised Terms.

CLNEXA is a cloud-based clinic management platform providing tools for appointment scheduling, patient record management, invoicing, staff management, analytics, and related healthcare administration services.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice for material changes that affect your use of the platform.

Account Requirements

• You must provide accurate, complete, and current registration information
• You must be at least 18 years old to create an account
• Each email address may only be associated with one CLNEXA account
• You are responsible for maintaining the confidentiality of your login credentials
• You must promptly update your account information if it changes

Account Security

You are fully responsible for all activities that occur under your account. You must immediately notify CLNEXA of any unauthorized use of your account at support@clnexa.com. CLNEXA will not be liable for any loss resulting from unauthorized access to your account due to your failure to safeguard your credentials.

You agree to use CLNEXA only for lawful purposes and in compliance with all applicable Egyptian and international laws and regulations. You may not:

• Use the Service to store, transmit, or process illegal content
• Attempt to gain unauthorized access to any part of the platform or its infrastructure
• Use automated scripts, bots, or scrapers to access the Service without our written permission
• Reverse engineer, decompile, or attempt to extract the source code of CLNEXA
• Share your account credentials with unauthorized parties
• Use the Service to send unsolicited communications (spam) to patients or third parties
• Impersonate any person, entity, or healthcare professional
• Use the Service in any manner that violates patient privacy or applicable healthcare data laws
• Engage in any activity that disrupts or degrades the performance of the platform

Access to CLNEXA's full features requires an active paid subscription. Key billing terms:

• All prices are displayed in Egyptian Pounds (EGP) unless otherwise stated
• Subscriptions renew automatically unless cancelled before the renewal date
• You may cancel your subscription at any time; access continues until the end of the paid billing period
• A 14-day free trial is available to all new accounts — no payment information required
• We reserve the right to change pricing with 30 days' advance notice to existing subscribers

Your Data

You retain full ownership of all data you enter into CLNEXA, including patient records, financial data, appointment history, and clinic information. You grant CLNEXA a limited, non-exclusive license to process this data solely for the purpose of providing and improving the Service.

Data Processing

CLNEXA acts as a data processor on your behalf. You are the data controller and are responsible for ensuring you have the legal right to collect, process, and store any patient data you enter into the platform. You are responsible for obtaining necessary patient consents.

Privacy Policy

Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. We never sell your data or patient data to third parties.

CLNEXA and all related technology, software, design, trademarks, and content are the intellectual property of CLNEXA and are protected by Egyptian and international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or included software. You may not reverse engineer or attempt to extract the source code without our express written permission.

Your clinic's data, branding assets, and content uploaded to CLNEXA remain your intellectual property.

We strive to maintain high availability for the CLNEXA platform and aim for 99% monthly uptime. However, we do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:

• Scheduled maintenance (announced 48 hours in advance where possible)
• Emergency maintenance or urgent security patches
• Third-party service outages beyond our control (hosting, DNS, payment providers)
• Force majeure events including natural disasters, government actions, or infrastructure failures

We will communicate planned maintenance and significant outages through the platform and via email.

To the maximum extent permitted by applicable law, CLNEXA and its officers, directors, employees, and partners shall not be liable for:

• Any indirect, incidental, special, punitive, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from unauthorized access to your account due to your own negligence
• Any medical, clinical, or healthcare decisions made based on data stored in the platform
• Loss of data due to your failure to maintain adequate backups

CLNEXA's total aggregate liability to you for any claims arising under these Terms shall not exceed the total amount you paid for the Service in the 12 months preceding the claim.

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and closing your account through the platform settings. CLNEXA may terminate or suspend your account immediately if you:

• Violate any provision of these Terms of Service
• Fail to pay applicable subscription fees after a reasonable grace period
• Engage in fraudulent, illegal, or harmful activity
• Use the Service in a way that harms other users, patients, or the platform's integrity

Upon termination, your right to access the Service ceases. Your data will be retained for 30 days after account closure, during which you may export it using the platform's export tools. After 30 days, your data will be permanently deleted.

These Terms of Service are governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Cairo, Egypt.

We may update these Terms of Service from time to time to reflect changes in our practices, technology, or legal requirements. We will notify you of material changes via email or a prominent notice on the platform at least 14 days before they take effect. For minor changes, we will update the "effective date" at the top of this page.

Your continued use of CLNEXA after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must cancel your account before the changes take effect.
